Tutor Agreement

This Independent Tutor Agreement ("Agreement") is entered into between Athemiq ("Company") and the undersigned tutor ("Tutor"). By applying to provide tutoring services on the Athemiq platform ("Platform"), Tutor agrees to the terms below.

a. Tutor is an independent contractor, not an employee, partner, or agent of Company.

b. Tutor is solely responsible for taxes, filings, insurance, and compliance with applicable laws.

c. Nothing in this Agreement creates an employment, joint-venture, or franchise relationship.

a. Tutor may offer academic or skills-based tutoring services ("Services") directly to students using the Platform.

b. Tutor maintains full control over teaching methods, materials, schedule, and pricing within Platform constraints.

c. Company does not guarantee student demand, earnings, or minimum hours.

a. Platform access is granted solely for delivering Services.

b. Tutor must provide accurate profile information and update changes promptly.

c. Tutor shall not engage in harassment, discrimination, unlawful conduct, or any activity that harms the Platform or its users.

a. Students pay Company, and Company remits Tutor earnings minus applicable service fees.

b. Company may adjust fee rates with reasonable prior notice.

c. Tutor is responsible for chargebacks resulting from Tutor misconduct or failure to deliver Services.

a. Tutor may set personal cancellation policies consistent with Platform guidelines.

b. Failure to honor confirmed sessions without reasonable notice may result in account actions.

a. Company may require identity or background verification.

b. Company may deny or revoke access based on verification results.

a. Both parties shall protect student information and proprietary Company information.

b. Tutor may not disclose student data except as required to perform Services.

a. Tutor retains ownership of original teaching materials.

b. Company retains ownership of its Platform, branding, software, and all associated IP.

c. Tutor grants Company a limited license to display profile information for marketing and operational purposes.

a. Tutor agrees not to solicit or accept payments from Athemiq students outside the Platform for a period of 12 months after the last interaction with that student.

b. Violation may result in account termination and recovery of lost fees.

a. Either party may terminate this Agreement at any time.

b. Company may suspend or terminate Tutor access for misconduct, fraud, or policy violations.

Company is not liable for Tutor's acts, omissions, or instructional content. Company's liability is limited to the amount of fees paid to Tutor in the preceding three months.

This Agreement is governed by the laws of [Jurisdiction].

This Agreement constitutes the full and final agreement between the parties.

By using the Athemiq Platform, Tutor acknowledges and agrees to this Agreement.
